General terms and conditions of business

§ 1 Subject and scope of the general terms and conditions

The subject of the general terms and conditions is the regulation of the contract and delivery conditions for all orders via this e-shop from ec-modules, Eschenweg 21, D-85640 Putzbrunn - hereinafter referred to only as ec-modules.

The following general terms and conditions apply exclusively to the business relationship between ec-modules and the customer in the version valid at the time of the order. Deviating, conflicting or supplementary terms and conditions, even if they are known, are not part of the contract unless their validity is expressly approved in writing.

§ 2 Conclusion of the contract

The goods offered by ec-modules without obligation can be ordered by telephone or online. By clicking the order button, the customer makes a binding declaration that they want to purchase the goods listed on the order form. The corresponding sales contract is concluded when ec-modules confirms the order by email to the email address provided by the customer when registering, but no later than when the goods are sent.

The service relationships of the purchase contract take place exclusively between the customer and ec-modules.

§ 3 Information Obligations

When entering personal data, the customer is obliged to provide truthful information. Immediately after conclusion of the contract, ec-modules sends the customer a confirmation e-mail with the order information to the e-mail address specified by the customer when registering.

§ 4 Right of Withdrawal

You can revoke your contractual declaration within 14 days in text form (e.g. letter, fax, e-mail) without giving reasons or - if the item is left to you before the deadline - by returning the item. The period begins after receipt of this instruction in text form, but not before the goods have been received by the recipient and not before we have fulfilled our information obligations in accordance with § 312c Para. 2 BGB in conjunction with § 1 Para. 1, 2 and 4 BGB-InfoV and our obligations according to § 312e paragraph 1 sentence 1 BGB in connection with § 3 BGB-InfoV. The timely dispatch of the cancellation or the item is sufficient to meet the cancellation deadline. Consequences of revocation

In the event of an effective revocation, the mutually received services are to be returned and any benefits (e.g. benefits of use) surrendered. If you cannot return the service received to us in whole or in part, or only in a deteriorated condition, you may have to pay us compensation for the value. This does not apply to the surrender of items if the deterioration of the item is solely due to their inspection - as you would have been able to do in a retail shop. If you have installed the modules we offer in a vehicle and the installation makes it impossible to resell them in whole or in part, we will calculate a depreciation on return. Transportable items are to be returned at our risk. You have to bear the costs of the return if the delivered item corresponds to the ordered item and if the price of the item to be returned does not exceed an amount of EUR 40 or if you have not yet paid the consideration for a higher price of the item at the time of the cancellation or have made a contractually agreed partial payment. Otherwise, the return is free of charge. Obligations to reimburse payments must be fulfilled within 30 days. The period begins for you with the dispatch of your declaration of revocation or the item, for us with the receipt of the goods.

Section 5 Delivery of the Goods

The order will be processed immediately after it has been received by ec-modules. The delivery takes place from stock to the delivery address specified by the customer in the order, provided that the goods are available. If the goods are not available within 3-5 working days, ec-modules will inform the customer about the non-availability. The customer can then withdraw from the contract or wait until the product he wants is available. If the customer cannot be found at the address given for reasons for which he is responsible, he is in default of acceptance of the service.

§ 6 Payment

The prices are final prices, including the statutory sales tax of currently 19%, plus shipping and packaging costs. Payment can be made via Paypal, by bank transfer in advance or by surname (with additional fees). The purchase price is due immediately, unless otherwise agreed. The customer can only exercise a right of retention if his counterclaim is based on the same contractual relationship.

§ 7 packaging and shipping costs

We charge a shipping fee of EUR 6.90 per order.

Deliveries to Austria and other EU countries have a shipping fee of 17.00 euros.

Deliveries to other countries are only carried out after prior written approval. The shipping costs may vary accordingly.

Shipping is only insured and with tracking.

§ 8 Retention of title

The delivered goods remain the property of ec-modules until the purchase price has been paid in full.

§ 9 Warranty and Limitation of Liability

The warranty follows legal regulations.

ec-modules is only liable in cases of intentional or grossly negligent behavior by ec-modules or in the event of a breach of a material contractual obligation by ec-modules. If ec-modules negligently violates an essential contractual obligation, the obligation to compensate for property damage is limited to the damage that typically occurs. A material contractual obligation is an obligation the fulfillment of which is essential for the proper execution of the contract and the fulfillment of which the customer can regularly rely on (cardinal obligation).

With the installation and commissioning of our modules, you confirm that ec-modules assumes no liability for indirect and/or direct damage and injuries caused by the installation (installation errors, damage to the system or vehicle due to mechanical or electronic influences) and/or the commissioning of the module.

We expressly point out that the functions of the module are to be used with the necessary caution and within the framework of the applicable road traffic laws. By installing and starting up the module, the vehicle can lose its general operating license and thus its insurance cover. This does not affect the statutory warranty for the proper functioning of the module.

§ 10 data protection

All personal data is treated confidentially and within the framework of the statutory data protection regulations. Only the data required to process the order will be saved. For the purpose of credit checking and creditworthiness monitoring, the data may be passed on to specialized financial service companies. In addition, to optimize our service, for the purpose of market research and marketing, the data is evaluated by companies commissioned by ec-modules. The customer can object to the above-mentioned use of his data at any time by notifying ec-modules or revoke his consent. For this purpose, a corresponding message must be sent to ec-modules:

When ordering, ec-modules will inform the customer about the use of his personal data and ask for his consent. On the basis of the specifications made there, ec-modules may inform the customer about current offers. If the customer no longer wants this service or has any questions in this regard, he can contact ec-modules using the aforementioned options.

Section 11 Applicable Law

German law applies to the exclusion of international private law and the UN Sales Convention. This also applies to orders from abroad. In business transactions with merchants and legal entities under public law, the place of jurisdiction for all legal disputes about these terms and conditions and individual contracts concluded under their validity, including actions on bills of exchange and checks, is the place of business of ec-modules, in accordance with Section 12 of these General Terms and Conditions, the city of Munich agreed.
